999 Taxi Terms and Conditions

1. Identification of the app owner. Definitions, mission, objectives and principles
SIMPALS S.R.L. is a legal entity operating the 999 Taxi service, registered in the Republic of Moldova:

1.1. DEFINITIONS
999 Taxi is an application designed for placing taxi service orders, viewing information about drivers, routes, and fares, as well as tracking the status of an order. Drivers use the application to accept and fulfill passenger transportation orders (hereinafter referred to as the "App").
TERMS AND CONDITIONS — this document governs the rights and obligations of the Parties, including (but not limited to): software provision, technical support, maintenance, pricing and payment terms, information confidentiality, data protection responsibilities, termination terms, and other aspects of the Parties' interaction.
DRIVER — an individual who, on behalf of the Beneficiary, provides transportation services through the App and is authorized to accept payment for these services on behalf of the Beneficiary. Each driver is granted a personal 999 Taxi account to use the App.
PAYMENT METHODS — the means of payment used by customers receiving transportation services, including cash and card payments through the App (also referred to as “In-App Payments”). These payment methods are accepted by both 999 Taxi and taxi companies as legitimate payment methods for transportation services. Passengers are guaranteed the right to choose their payment method. Taxi companies are required to ensure that drivers accept all of the above payment methods and are not allowed to refuse a passenger's choice of payment method.
These terms and conditions come into effect upon accessing the App and accepting the Terms of Use. By using the Services or the App in any way, in whole or in part, you will be legally bound to 999 Taxi.

1.2. By using the App or the Website, you agree to be bound by these Terms. Please read them carefully before using the Application. If you do not agree to these Terms and Conditions, do not use the App.
These Terms and Conditions (hereinafter “Terms” or “Agreement”) constitute a legal agreement between passengers (users), vehicle owners (partners) and S.R.L. “SIMPALS” (hereinafter referred to as “999 Taxi”).
Please note that the Terms and Conditions are subject to change. 999 Taxi may revise this document at any time by updating this page. In order to keep up to date with changes, please check this page periodically as the updated Terms will take effect from the date specified by 999 Taxi, but not earlier than 5 days after notification of the changes, unless otherwise required by applicable law. By accepting the Terms, you grant 999 Taxi the right to send you periodic emails or text messages with information, special offers or promotions. Your continued use of the services offered through the App constitutes your acceptance of any changes to this Agreement. In case of discrepancies between the Russian and Romanian versions of the site rules, the Romanian language version shall prevail.

2. General provisions
2.1. 999 Taxi has developed a marketplace application that mediates between supply and demand for transportation services. The terms and conditions govern the contractual relationship between users-passengers, car owners and the 999 Taxi platform.
The information systems and software used to operate the Application usually automatically collect some personal data (so-called “log files”), the transmission of which is an integral part of the use of internet communication protocols.
2.2. Respect for your privacy is one of our main obligations, therefore we attach great importance to the processing of your data in accordance with the Law of the Republic of Moldova No. 133/2011 “On personal data protection”.
The Terms of Use are supplemented by the Personal Data Policy, available at taxi.999.md/ro-RO/privacy-policy.
3. User accounts
3.1 Users must create an account associated with their mobile number, providing accurate information.
3.2 Users are responsible for their account login details and actions performed using the account.
3.3 Some Partner Services may require a valid payment method.
3.4 Additional information and documents may be required for booking and accommodation.
3.5 Users are not obliged to use the Application.
3.6 In case of suspected infringements, access may be temporarily restricted.
3.7. 999 Taxi may carry out checks but does not guarantee or undertake to carry out specific checking procedures.
3.8. The solvency of passengers cannot be guaranteed.
4. Liabilities and Rights
4.1. 999 Taxi operates a marketplace for transportation providers and reserves the right to update its technology, receive compensation for completed orders, set prices and manage intellectual property rights.
4.2. 999 Taxi is responsible for hosting the platform infrastructure, facilitating payment processing, making financial compensation, ensuring the availability and operation of the software and providing transparency.
4.3. 999 Taxi ensures a fair and equitable environment for partners and provides detailed information about the working principles.
5. Passengers
5.1 Using the app: you can use the app to book rides. The app works as a marketplace, mediating requests for transportation services between passengers and partners. For the avoidance of doubt, 999 Taxi does not provide services involving the transportation of passengers and luggage, nor does it provide dispatching services.
5.2 Transportation service providers: third parties provide transportation services independently. Disputes related to legal obligations or transportation services will be settled between passengers and partners. Partner data and travel history are available in the Application.
5.3 Access and liability: you can download/access 999 Taxi mobile apps/websites on devices with internet connection and popular operating systems. You are responsible for network access and associated charges and device compatibility for use of the Services.
5.4 Booking a ride: to book a ride, you need to initiate a request in the app, specifying details and the cost of the ride will be automatically displayed.
5.5. Ride management: to start/stop a ride, meet the partner representative (taxi driver) at the specified location and time.
5.6. Payment authorization: authorize payments for various balances, including ride costs, payments and claims, which will be removed from your payment details.
5.7 Vehicle condition and inspection: Partners must comply with legal requirements and maintain safe vehicles. Inspect the vehicle before use, report any pre-existing damage and report any safety issues.
5.8 999 Taxi is not responsible for vehicle safety, legality or lost/stolen property.
5.9 Damage reporting: report any damage immediately. In case of personal injury, report to the authorities and cooperate with the investigation.
6. Partners
6.1. Registration and Terms for Partners: by clicking the “Registration” button, you declare that you have the right to use the platform to provide the Services, agree to these General Terms and Conditions, provide accurate information, do not allow others to use your account and comply with all applicable laws. It is also obligatory for Partners to conclude a separate agreement with 999 Taxi, in which the Parties define the rights and obligations in relation to the use of the Application.
6.2 Taxi companies and Liability: taxi companies and individuals (if the law permits the provision of such Services by individuals) may register accounts for employees or individually and provide services through the Application, but only a person authorized by the Application may provide Transport Services. The Taxi Company and its employees are jointly and severally liable for any violations.
6.3 Licenses and Documents: Partners are obliged to have all necessary documents according to the legislation of the Republic of Moldova, including, but not limited to, Code No. 150 of 17.07.2014 on road transportation. Partners must ensure that the documents are up to date, 999 Taxi has the right to request confirmation.
6.4. Professionalism and Responsibility: Partners are obliged to provide the Services in a professional manner and to prioritize the interests of Passengers. This includes selecting optimal routes, avoiding unauthorized stops and observing traffic rules.
6.5. Availability of Services and prices: Partners have the right to accept, reject or ignore requests for Services. They are obliged to pay a fee to the Platform, the amount of which may vary over time.
6.6. Tax Obligations: Partners are obliged to comply with all tax obligations. 999 Taxi may share data on the activities of the Partners with authorized authorities.
6.7. Passenger ratings and activity: Passengers can leave ratings and feedback. The rating of Partners affects their account. Low activity may result in suspension of Services and account lockout.
6.8. Requirements for vehicles: Partners are obliged to provide safe, registered, insured vehicles in technically sound condition.
6.9 Accuracy and conformity of prices: prices set by the Partners shall be accurate and complete.
6.10. Insurance and Inspection: Partners are required to maintain a current inspection (ITP) and RCA insurance policy for the vehicles applied for. The application does not provide insurance coverage.
6.11. Vehicle Information: Partners are obliged to provide information and documents about the vehicles proving ownership or legal use.
6.12. Use of images: Partners are responsible for the accuracy of the images. Uploading content grants 999 Taxi a non-exclusive license to use it.
6.13. Trip performance: Partners are obliged to provide a vehicle that meets expectations, verify the Passenger's information and not to collect excessive or unnecessary information.
6.14. Prices: Partners agree to the prices offered by the App. 999 Taxi will remit payment to the Partners, less commission, based on the funds collected from Passengers through electronic payment methods within the App.
6.15. Payment processing: payments are made based on the terms and conditions of the agreement signed with the Partners. The Partners agree to process payments and undertake to provide accurate information.
6.16. Safety and compliance of vehicles: Partners are responsible for vehicle safety and compliance with registration and inspection requirements. 999 Taxi.app may notify and remove vehicles that do not meet safety standards based on feedback from Passengers or other sources.
6.17. Damage Reporting: Partners must report damage caused by Passengers within 24 hours and cooperate in the investigation to determine compensation. Partners retain rights to any sums owed to them.
7. Payments
7.1. Booking: Passengers can book trips via the App. An indicative fare is displayed on the App prior to the Passenger confirming the booking and Passengers are responsible for paying the fare. Passengers are liable to pay for the cost of the Services provided and in the event of a trip being canceled through no fault of their own, a cancellation fee may be assessed.
7.2. Card Payment Processing: Users can pay for journeys by cash or Mastercard/Visa cards and through payment service providers and electronic currency (“Card”) issuers through the e-commerce system. 999 Taxi provides the User with access to the service of accepting and processing electronic payments through a processing center and bank via the App.
7.3. 999 Taxi controls bank card transactions carried out via the built-in payment system of the Application to the extent technically possible. In case of suspected fraud or unauthorized use of the Application, the User's access may be denied.
7.4. 999 Taxi maintains the confidentiality of information and data related to card transactions, collected and stored within the framework of single payments through the Application, in accordance with the legislation in force in the Republic of Moldova.
7.5. The bank card data and payments made by Users through e-commerce in the Application are processed by the bank.
7.6 All complaints related to payment for services by card through the App can be directed to 999 Taxi support service, which will refer them to the competent authorities if necessary, if the decision is not within the competence of 999 Taxi.
7.7 Complaints regarding refunds for payments made by card through the App are accepted by 999 Taxi and referred to the relevant authorities for consideration. Refunds to a bank card are possible only after confirmation from the Partner and the bank.
7.8 Partners are responsible for receiving the fee when paying in cash. In case of non-payment 999 Taxi may send a debt notice on behalf of the Partner. 999 Taxi is not obliged to compensate for unpaid trips.
7.9. Fare adjustments: 999 Taxi may adjust fares in case of irregularities (e.g. choosing a longer route) or technical errors. Reduction or cancelation of fare is reasonable and justified.
7.10. Cancellation and Waiting Charges: Passengers may cancel approved applications and the Partner may be entitled to a cancellation charge under certain conditions set by 999 Taxi.
7.11. 999 Taxi may create internal trip history receipts on the App.
7.12. Billing and payments: Affiliates only pay 999 Taxi's fees, which are calculated based on activity reports and regulatory documents.
7.13. Car branding charge: Partners receive a discount on the base commission for branding the car with 999 Taxi logo, if it is stipulated in the signed agreement.
7.14. Compensation for damages: if Passengers damage the vehicle during the provision of the Service, the Partner is entitled to compensation. 999 Taxi is not liable for damages, but can support Users and Partners in investigating and settling damages.

8. Confidentiality and Limitations of Liability
8.1. 999 Taxi may collect and use personal data in accordance with its Privacy Policy, available on the App as well as at taxi.999.md/ro-RO/privacy-policy.
8.2. The 999 Taxi App is provided “as is” and “as available”. 999 Taxi does not represent, warrant or undertake that access to the App will be uninterrupted or error free. In the event of technical problems, we will endeavor to rectify them as soon as possible, but please note that the operation of the App may be limited due to occasional technical failures and cannot be guaranteed around the clock - for example, emergencies may result in an interruption to the Services.
8.3. 999 Taxi, its representatives, administrators and employees shall not be liable for any loss or damage that you may suffer as a result of using the App or as a result of your reliance on a journey booked through the App, including but not limited to: any direct or indirect damage to property or monetary loss; loss of profits; loss of business, contracts, contacts, goodwill and any loss caused by business interruption; loss or corruption of data; and any other type of loss or damage.
8.4. You expressly declare that you have read the Terms and agree that 999 Taxi shall not be liable for any direct, indirect, incidental or special damages, including but not limited to: loss of profits, loss of use, loss of data or other damages (even if 999 Taxi has been advised in advance of the possibility of such damages) arising out of.
8.5 The use or inability to use the Application services.
8.5.1 Statements or actions of third parties in relation to the Services provided through the App.
8.5.2 Any other problems related to the services provided through the App.
8.6. 999 Taxi makes no warranty that:
(a) the services will meet all your requirements;
(b) the services will be uninterrupted, timely, secure and error free;
(c) the results obtained from the Application and the Services provided will be accurate and reliable;
(d) Any errors in the software will be remedied.
9. Modification of the Agreement
9.1 999 Taxi reserves the right, in its sole discretion, to modify the Services or the Agreement, including these Terms, at any time. If we change the Terms, we will post updates on the Services.
9.2. We will also revise the “Last Updated” date at the top of these Terms. If you continue to use the Services after changes are posted or you receive notice of changes, you agree to the updated Terms. If you do not accept the amended Terms, your only recourse is to stop using the Services and terminate your 999 Taxi account.
9.3 If you choose to close your 999 Taxi account, the previous version of the Terms will apply unless you continue to use the Services for the next 30 days, in which case the new version of the Terms will apply.
9.4. 999 Taxi reserves the right to terminate or suspend a Passenger's access to the App at its absolute discretion, with or without reason.
10. Applicable Law
10.1. These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Moldova. All disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Moldova.
10.2 By using the App, you acknowledge that you have read, understood and agree to be bound by these Terms and Conditions.
